The practical terms that govern this website, consulting engagements, and managed-service subscriptions.

Agreement to these terms
These Terms and Conditions govern your access to verbsconsulting.com and your purchase or use of services from Verbs Inc., operating as Verbs Consulting (“Verbs,” “we,” “us,” or “our”). By using this website, submitting a request, approving a proposal, or purchasing a subscription, you agree to these terms and any applicable proposal, statement of work, order form, checkout terms, or written service agreement.
Services and scope
Verbs provides website strategy, design and development, cloud and hosting support, domain and DNS management, CRM and workflow implementation, automation, integrations, marketing systems, payment-processing support, maintenance, and related consulting services.
The specific deliverables, schedule, service level, assumptions, fees, and responsibilities for an engagement are defined in the applicable proposal, statement of work, subscription description, or other written agreement. If those documents conflict with these website terms, the engagement-specific document controls for that engagement.
Estimates, changes, and approvals
Estimates are based on the information available when they are prepared. A request that changes the agreed scope, assumptions, schedule, platform, or required integrations may require a revised estimate, change order, or separate project. Verbs may pause out-of-scope work until the client approves the additional scope and fees.
Maintenance subscriptions
Maintenance plans provide ongoing access to the services listed for the selected plan. They are managed-service subscriptions, not prepaid banks of hours. Included work must remain within the plan description and reasonable service use. Large redesigns, new pages, custom development, migrations, paid campaigns, extensive content production, or substantial integrations may require a separate estimate unless expressly included.
Priority support affects request ordering; it does not create a guaranteed response or restoration time unless a written agreement expressly states one.
Billing and renewals
Payments and subscriptions are processed through Stripe. Monthly, quarterly, and annual plans renew according to the billing interval selected at checkout until cancelled. The client authorizes recurring charges for the selected plan and is responsible for keeping billing information current.
Taxes, third-party licenses, advertising spend, premium plugins, domains, hosting, email accounts, transaction fees, and vendor charges are separate unless the applicable agreement expressly includes them.
Cancellation and refunds
You may request cancellation before the next renewal by contacting hello@verbsconsulting.com. Cancellation ordinarily takes effect at the end of the current paid billing period unless the checkout terms or a written agreement state otherwise. Fees already paid are non-refundable except where required by law or expressly agreed in writing. Ending a subscription does not remove responsibility for approved out-of-scope work or other outstanding charges.
Client responsibilities
Clients must provide accurate information, timely decisions, content, approvals, credentials, and authorized access needed to perform the work. Clients are responsible for confirming that they have authority to grant access to each website, account, platform, data set, domain, and third-party service involved.
Delays in access, content, approvals, payment, or third-party cooperation may affect schedules and service availability. Clients remain responsible for their business decisions, legal compliance, content accuracy, data collection practices, and relationships with their customers and users.
Credentials and account access
Do not send passwords, private keys, full payment-card information, or other sensitive credentials through ordinary website forms or email. Verbs may provide or request a more appropriate access method. Clients should use role-based access, multi-factor authentication, and the least privilege reasonably available. Verbs may remove its access when services end.
Third-party platforms
Services may depend on providers such as AWS, Google, Stripe, Wix, WordPress, domain registrars, CRM vendors, plugin developers, and other platforms. Their terms, pricing, availability, security controls, and product changes are outside Verbs’ control. Verbs is not responsible for an outage, suspension, policy change, data loss, price change, or other failure caused by a third-party provider, though we may assist with reasonable troubleshooting or migration work.
Client content and intellectual property
The client retains ownership of materials it supplies and represents that it has the right to use them. Each party retains ownership of its pre-existing tools, templates, processes, code, know-how, trademarks, and other materials.
Ownership or licensing of custom deliverables is determined by the applicable agreement and may depend on full payment. Third-party and open-source materials remain subject to their own licenses. Verbs will display a client name, logo, project, or result in its portfolio only with permission or as otherwise allowed by the applicable agreement.
Confidentiality and data handling
Each party should protect non-public business, technical, and personal information received through an engagement and use it only for the engagement or as permitted by law. Additional confidentiality, security, data-processing, or retention requirements must be agreed in writing when needed.
Acceptable use
You may not use the website or Verbs services to violate law, infringe rights, distribute malware, bypass security controls, misrepresent identity or authority, send unlawful or abusive communications, or interfere with another system. Verbs may refuse or suspend work that creates a security, legal, ethical, or operational risk.
Availability and warranties
Verbs will provide services with reasonable professional care. Except for express commitments in a written agreement, the website and services are provided without warranties of uninterrupted operation, error-free performance, specific search ranking, revenue, conversion, deliverability, platform approval, or compatibility with every third-party system.
Limitation of responsibility
To the fullest extent permitted by law, Verbs is not responsible for indirect, incidental, special, exemplary, or consequential loss, including lost profits, lost opportunities, lost data, or business interruption. Any additional limits, remedies, or allocation of risk are governed by the applicable written agreement. Nothing in these terms excludes rights or responsibilities that cannot legally be excluded.
Suspension and termination
Verbs may pause or terminate services for nonpayment, material breach, unsafe or unlawful requests, repeated failure to provide required access or approvals, or risk to a client, Verbs, or a third party. On termination, the client must pay amounts due for completed and approved work. Each party should reasonably cooperate in an agreed transition or handoff; transition work may be separately billed.
Changes to these terms
We may revise these terms as services or legal requirements change. The updated date will appear on this page. Changes apply prospectively unless a different effective date is stated. Engagement-specific agreements remain governed by their own amendment provisions.
